These Terms of Service (“Terms”) explain the rules for using the Tooclear mobile application, website, and related services (collectively, the “Service”).
Tooclear is operated by Damilola Ibukun Shofoluwe, an individual. Tooclear is not a registered company. In these Terms, “Tooclear,” “we,” “us,” or “our” means Damilola Ibukun Shofoluwe as the operator of Tooclear.
By creating an account or using Tooclear, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
1. What Is Tooclear?
Tooclear is a personal and family financial management application designed to help you understand your money, track expenses, organize financial accounts, manage budgets, set savings goals, and make more informed financial decisions.
Depending on the features available to you, Tooclear may provide:
- Manual financial account tracking
- Income and expense management
- Budgeting and savings goals
- Recurring bills and subscriptions
- AI-assisted financial insights
- Receipt scanning and expense extraction
- Bank statement and transaction history imports
- Voice-assisted expense recording
- Multi-currency financial tracking
- Shared household financial management
- Financial reports and projections
Some features may require a paid subscription.
2. Tooclear Is Not a Bank
Tooclear is a financial management tool, not a bank or payment institution.
Unless expressly stated otherwise, Tooclear does not hold, transfer, invest, lend, or safeguard money on your behalf.
Accounts created inside Tooclear are digital records used to organize and monitor your finances. They do not represent bank accounts opened or maintained by Tooclear.
Transactions recorded in Tooclear do not automatically move money between real financial institutions.
3. Financial Information and AI Assistance
Tooclear may use artificial intelligence to help categorize expenses, interpret receipts, analyze transaction histories, answer financial questions, and suggest ways to manage money.
AI-generated information may contain errors, omissions, or inaccurate assumptions.
Financial forecasts and recommendations are estimates based on available information, not guarantees of future outcomes.
Tooclear does not provide personalized investment, legal, tax, or other regulated professional advice.
You are responsible for reviewing financial information and deciding whether to act on any recommendation.
4. Your Account
To use certain features, you must create an account. You agree to:
- Provide accurate registration information.
- Keep your login credentials secure.
- Notify us if you suspect unauthorized access.
- Use the Service lawfully.
- Maintain the confidentiality of your account.
You are responsible for activity conducted through your account, except where responsibility cannot lawfully be assigned to you.
5. Eligibility
You must be at least 18 years old to create an account and use Tooclear.
Household features do not authorize anyone under 18 to create an account or use Tooclear.
6. Your Financial Information
You may manually enter or upload financial information, including account balances, transactions, receipts, bank statements, budgets, and savings goals.
You remain responsible for checking that your information is accurate and up to date.
Tooclear may help identify potential errors or duplicate transactions, but cannot guarantee that every mistake will be detected.
Because Tooclear does not automatically verify all transactions with financial institutions, displayed balances may differ from your actual bank balances.
7. Receipt and Bank Statement Uploads
You may upload receipts, transaction screenshots, statements, and other supported financial documents.
By uploading content, you confirm that you have the right to use and process that information.
You grant Tooclear permission to process the uploaded content for the purpose of providing the requested Service.
Automated extraction may misread dates, amounts, currencies, merchant names, or transaction details. You should review extracted information before confirming financial records.
Do not upload documents you are not authorized to access or process.
8. Family and Household Features
Tooclear may allow you to create or join a household and share selected financial information with other members.
Information you deliberately add to a shared household may be visible to other authorized household members according to the applicable permissions.
Your personal financial information is not automatically shared merely because you join a household.
You are responsible for deciding which information to share and for managing authorized household access.
Household administrators may have additional permissions over shared records, but do not automatically gain access to private personal accounts.
9. Free and Premium Services
Tooclear may offer free and paid features.
Free features may have limits on accounts, AI requests, receipt scanning, statement imports, household collaboration, or other capabilities.
Paid subscriptions may provide higher limits and additional features.
Current subscription prices, billing intervals, renewal terms, and applicable trial conditions will be displayed before purchase. Additional details are provided in our Subscription, Cancellation & Refund Policy.
10. Payments and Renewals
Our order process for web subscriptions is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our web orders: Paddle sells the subscription to you, takes payment, and handles taxes, invoices, payment-related questions and refunds under Paddle’s buyer terms and refund policy.
Subscriptions purchased through the iOS or Android applications, when available, are processed by Apple or Google under their own terms.
Paid subscriptions generally renew automatically unless cancelled before renewal.
The applicable payment provider may handle billing, taxes, payment methods, refunds, and subscription management.
You are responsible for reviewing the final checkout terms before completing a purchase.
11. Acceptable Use
You agree not to:
- Use Tooclear for unlawful or fraudulent activities.
- Access another person’s account without authorization.
- Upload malicious files or harmful content.
- Attempt to bypass subscription or usage limits.
- Interfere with the Service’s security or operation.
- Reverse engineer protected components except where permitted by law.
- Use automated systems to abuse the Service.
- Misrepresent your identity or ownership of financial information.
We may restrict or suspend access where reasonably necessary to address violations, fraud, security risks, or legal obligations.
12. Availability and Changes
We aim to provide a reliable Service, but uninterrupted availability cannot be guaranteed.
Features may occasionally be unavailable because of maintenance, technical failures, third-party service interruptions, or other circumstances.
We may improve, modify, or discontinue features. Where changes materially affect your rights or paid benefits, we will provide notice as required by applicable law.
13. Your Content
You retain ownership of financial information and documents you provide, subject to any rights held by third parties.
You grant us the limited rights necessary to store, process, display, and transmit that content to operate the Service.
This permission ends when the relevant information is deleted, except where continued processing or retention is legally permitted or required.
14. Intellectual Property
The Tooclear name, branding, software, design, and original content are owned by Damilola Ibukun Shofoluwe or their licensors.
You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.
You may not commercially reproduce or redistribute protected elements without authorization.
15. Privacy and Security
Our handling of personal information is described in our Privacy Policy.
We implement security measures appropriate to the Service, but no internet-based system can guarantee absolute security.
You should protect your account credentials and report suspicious activity.
16. Account Suspension and Termination
You may stop using Tooclear at any time.
You may request account deletion through available account controls or by contacting us.
We may suspend or terminate access where permitted by law, including for serious violations of these Terms or security concerns.
Termination does not automatically eliminate obligations or records that must legally be retained.
Where applicable, access to your data and export options will be provided in accordance with our Privacy Policy and relevant law.
17. Disclaimers
To the extent permitted by applicable law, the Service is provided on an “as available” basis.
We do not guarantee that financial predictions, AI interpretations, calculations based on incomplete user data, or third-party services will always be accurate or uninterrupted.
Nothing in these Terms excludes warranties or consumer rights that cannot lawfully be excluded.
18. Limitation of Liability
To the extent permitted by applicable law, Tooclear is not responsible for losses arising solely from inaccurate information supplied by users, decisions made in reliance on unverified estimates, or circumstances outside our reasonable control.
Any contractual liability limits must comply with applicable consumer protection laws.
Nothing in these Terms excludes liability that cannot lawfully be limited, including liability for fraud or other legally protected claims.
19. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes will be heard by the courts of competent jurisdiction in Abuja, Federal Capital Territory.
This does not take away any mandatory consumer protections of the country where you live. If the law of your country gives you the right to rely on its consumer protections or to bring a claim in its courts, you keep that right.
If a dispute arises, please contact us first so we can attempt to resolve it.
Nothing in these Terms prevents you from exercising rights or accessing remedies available under applicable law.
20. Changes to These Terms
We may update these Terms as the Service develops.
When changes are material, we will provide notice as required by law.
The effective date at the top indicates when the current version applies.
